Update to Quorum: Coming soon to an AGM near you! We are counting on your vote!
By Lisa Jackson, ICF ECC Director At Large (Governance)
Last month we posted a blog on cleaning up quorum. Thanks to those who completed the survey and we have overwhelming support for the changes we propose! The survey remains open – send us your feedback.
Robert’s Rules of Order advises that a quorum should consist of a number that is as large as can be depended upon for being present at all meetings--when the weather is not exceptionally bad. Traditionally we have 12 – 15 members attend events. Additionally, our jurisdictional review indicated that 10% is a reasonable quorum for most societies. Therefore, we are proposing a quorum that allows for 10% of our members in good standing, or 15 members in good standing, whichever is lesser. Including a minimum number will allow us to remain adaptive and accountable as our membership grows.
What is the process to amend the bylaws? In November you will receive an email with the first notice of the quorum amendment proposal. In December you will receive a second notice of the quorum amendment proposal. These notices will give you an opportunity to comment or ask clarifying questions.
At our AGM in January 2021 we will vote on a special resolution, which will propose a change to Article V Section 3 of our bylaws:
Ten percent (10%) of members in good standing, or 15 members in good standing, whichever is lesser, shall constitute a quorum at any meeting.
We are seeking your consent to pass this amendment. Our bylaws allow voting by proxy and so we will be providing an opportunity for voting online, by email, or in person (if we are able to meet in person.) We need not less than 75% of eligible members to consent so we are counting on your vote.
Please feel free to contact any member of the board if you would like more information, and keep a watch on your inbox!
